1. Agreement to terms

These Terms and Conditions (“Terms”) govern your access to and use of the websites, products, and services provided by Rulebase Technologies Inc. (“Rulebase”, “we”, “us”). By accessing or using our services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

2. The services

Rulebase is the AI platform for customer operations at financial services organizations. It reviews every customer interaction, identifies risk and revenue opportunities, and runs agents that work each account across the lifecycle: onboarding, activation, and reactivation. Features, functionality, and availability of the services may change as the product evolves.

3. Accounts and access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access or use. We may suspend or terminate access where we reasonably believe these Terms have been violated.

4. Customer data

You retain all rights to the data you submit to the services (“Customer Data”). You grant Rulebase a limited license to process Customer Data solely to provide and improve the services, consistent with our Privacy Policy and any applicable data processing agreement. You are responsible for ensuring you have the necessary rights and consents to submit Customer Data, including any customer conversations processed through the platform.

5. Acceptable use

You agree not to misuse the services — including attempting to gain unauthorized access, interfering with the operation of the services, reverse engineering the platform, or using the services to violate any applicable law or regulation, including financial services regulations applicable to your organization.

6. Intellectual property

The services, including all software, models, designs, and documentation, are the property of Rulebase and its licensors. Except for the limited rights expressly granted in these Terms, no rights in the services are transferred to you.

7. Disclaimers and limitation of liability

The services are provided “as is” without warranties of any kind, express or implied. Rulebase does not provide legal or compliance advice; outputs of the platform are intended to support, not replace, your own compliance processes and judgment. To the maximum extent permitted by law, Rulebase’s aggregate liability arising out of or relating to these Terms will not exceed the amounts paid by you for the services in the twelve months preceding the claim.

8. Termination

Either party may terminate as set out in the applicable order form or subscription agreement. Upon termination, your right to use the services ceases, and we will delete or return Customer Data in accordance with our data retention commitments.

9. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice — for example, by email or through the services. Continued use of the services after changes take effect constitutes acceptance of the updated Terms.
